Goku Convinces Vegeta to Fuse to Achieve... - Duration: 4:35.

Hello and welcome back all my dragon ball theorist and the tournament of power is going

pretty well for Universe 7 suffering minimal casualties despite everything that has happened

so far.

We only have 15 minutes left and coming up more Universes suffering the ultimate fate

and that means we will start to see everyone pulling their trump card coming up in

these final moments.

Universe 4 and it's hidden fighters will demonstrate with some abilities the reason why Quitela

has been so confident.

Universe 3 has lasted this long somehow and that means they will have something planned

as well.

Then the big three from Universe 11 and the fact Jiren can start eliminating people at

any time is an looming ominous threat.

There is a chance there are some shocking eliminations for Universe 7 coming with these

imminent threats and the only choice will be to counter them with equal or overwhelming

power.

Whis has said of course the downside of fusion which is you can eliminate 2 fighters at once

and it's a big risk as we have seen with Goku wrecking Kefla with the most beautiful Kamehameha

we ever seen.

Whis has a point but if everyone starts targeting Universe 7 with the most fighters left there

might come a point of no choice in the matter.

Everyone on Universe 7 then could be at risk.

So do we dare use the Potara and who should use them?

Well I don't think Universe 7 will need to use them anytime soon but we are looking more

so down the road and there might not be that many fighters left for Universe 7.

Desperate times call for desperate measures.

So Beerus finally will give in and throw the Potara earrings onto the stage and reluctantly

Vegeta will of course not want to fuse.

It isn't something new he hates it but if Goku

and both Vegeta having to deal with Jiren it might be the only way.

Except Vegeta's confidence to want to test his power on his own will come into play and

he will need to be convinced by Goku.

There is something Vegeta wants to add to his power and that is the ability to use Ultra

Instinct.

Something that is triggered by breaking through your shell when pushed beyond your limits.

Except Vegeta seems to want to achieve this consciously and that is his only mistake recently

since not even Goku has achieved that.

Vegeta is fully capable of learning Ultra Instinct but he just hasn't been pushed yet

like Goku has.

So is there another option?

Goku can now offer a fusion with Vegeta where they become one and together they use the

unrivaled power of Vegito.

Except the bait here will be Goku telling Vegeta that come on you want to use Ultra

Instinct don't you.

Of course Vegeta doesn't want to use it like this but the Universe is on the line and Whis

will say that it could be a good idea for them to tap into each others powers and at

this point there might not be another option.

So hesitantly Vegeta and Goku fuse yet again to form Vegito and of course it is nothing

short of amazing except the promise that Goku gave to Vegeta falls short.

As Goku doesn't yet know how to consciously use Ultra Instinct himself.

Vegeta annoyed fused again with Goku says in his Vegito voice well this matters not.

Our power won't be defeated except with remaining fighters like Jiren and we don't know yet

what is hiding from Universe 4 they could have some issues in fighting them if they

really do have crazy abilities.

Vegito is difficult to defeat but they aren't able to seal the deal and eliminate these

fighters either and separate when trying to use their power to it's full potential just

like against Merged Zamasu.

Except now defused both Vegeta and Goku will be pushed to their most maximum and Whis starts

to notice something truly wonderful happen.

Goku and Vegeta are not only working perfectly together but Vegeta has achieved Ultra Instinct

for himself, except it isn't like Goku's.

Where Goku had mastery of defensive self movement Vegeta has actually attained the mastery of

unconsciously attacking.

Now the final moments of the tournament will showcase the combined powers and Goku and

Vegeta working together with their new powers to fight and defend what they love at all

cost.

Well of course this is just a fun way it could play out and I hope you enjoyed this story

and I want to know what you guys think does Goku talk Vegeta into fusing again and if

this does happen will it suffer the same fate as before and they end up defusing?

Hello guys and welcome to a new video by Sebastiano Serafini in Japan!

I've survived!

I've survived after I ate the blowfish, in Japanese "Fugu".

I'm Sebastiano Serafini from Japan, if you're new to this channel don't forget to subscribe!

It's a beautiful channel where you can learn a lot of new things about Japan.

Today we're talking, as I said about the Fugu, the blowfish,

in his inner organs he has a very poisoning toxin, it's called....

Tetrodotoxin

you can die if you take it.

However, in Japan it's a very famous dish, a lot of people likes it,

it's good and it's not so fat.

It's so well known that they dedicated in Osaka a temple,

no sorry, a museum^^

The museum of Osaka's Fugu

The people eat Fugu since the temple period, the Jōmon period.

This period goes from 10.000 to 300 BCE circa, I don't know the year,

but there are some proves that show that people ate it in that period.

Then also in the Meiji and Edo period

the Fugu was a illegal dish during that time,

because it was considered very dangerous.

After some years they started to verify the Fugu and they did some exams on it to recieve the licence.

The so-called "Fugu chorishi menkyo"

and after recieving this menkyo you could serve it.

In the 50's - 60's there where years where around 200-300 people died because of the blowfish.

Between 1993 and 2007 only 20 people died,

one of them in a restaurant and the other where fishermen without knowing what that was

In Italy it's illegal, well, in all Europe

there is a law that says that it's forbidden to consume and serve the Fugu,

you can't even buy it in the supermarket...wow how interesting

In America there are some restaurants that have the license to serve it,

but I would never try it there. I don't trust America.

If you are in Japan and you want to try it, it's really good,

if you're superstitious don't do it,

This is a food that even the Emperor couldn't eat and nobody could serve it to him,

because there was the chance that he could die.

Another thing about Fugu is that there was a poet that lived in the 700's called: Yosa Fuson,

one of the protagonists in his poems could never find the right love and so he said that he wanted to die by eating the Fugu,

so, now you know how much history there is behind this fish and dish.

However for the people that hate me, I'm still here and I've survived!

This one is the Nyumen and this are the Kakinoha sushi

it's basically sushi wrapped in a leaf

Thes are two typical dishes of Nara and they're not even so expensive (15€),

Now we need to go inside, otherwise they will close, because we are in the countryside.

Ok, we're going to eat at the "Tsuhiki Tei"

it means moon and sun.

Ok people think that I'm a foreign person, because I'm filming everything.

Here we have the Tetchiri (a type of Nabe with the Fugu!)

Wow, delicious! We're going to eat good things!

So, I'm going to eat the blowfish - let's hope that I don't die!

Then we're going to eat Nyumen a speciality of Nara,

Then we eat the sushi wrapped in a leaf (Kakinoha sushi in Japanese) Kakinoha it's the leaf name.

I can't wait to eat these specialities!

Another thing that I love about the Japanese restaurants is

that they bring always a cup of warm tea or water for free and

the Oshibori towels, where you can clean your hands,

they're very handy which italian restaurants should also have.

Aren't Japanese restaurants stylish?

So, here we have the Tetchiri

it's a type of Nabe, they forgot to switch on the gas

it's a type of Nabe made with Fugu and Yuba (this yellow one)

My friend took the Kakinoha sushi,

and the Nyumen,

typical noodles from Osaka.

The blowfish is the best in the world!

it's a little bit expensive tho,

it's full with proteins and super light,

so, it's perfect for my diet!

let's try also the Nyumen,

you need to be loud at eating in Japan.

We need to remove the sushi from the leaf

so and now I'm eating it!

We also have the Tenpura!

it's the skin of this poisonous fish.

Fasting For Multiple Days: GOOD OR BAD? - Duration: 9:13.

Hey, what's up?

I got a

question about fasting and about a book that I did a review on.

There's this book on Obesity Code.

You can check it out here and it's a really good book, actually.

It really changed some of my mindset on some of the things as far as fitness.

I've actually changed my diet quite a bit.

In fact, I'm just coming off of a three-day fast.

It's Tuesday now.

I just broke the fast yesterday, but I stopped eating Friday night and I didn't eat Saturday

or Sunday, or Monday until Monday evening when I broke the fast.

It's a good three-day fast.

I'll tell you.

You'll learn a lot about yourself if you don't eat for three days.

You'll learn a little bit about who you really are.

I've done this enough times that I've sort of been able to go there and learn, gain some

insight from that.

It's definitely something I encourage, but, you know, obviously, check with your doctor.

I'm not a doctor so if you don't eat for three days and somehow you die, it's not my fault.

You're the idiot who didn't eat for three days.

Okay?

I got this question from Kevin and Kevin says, "Hey, John.

I've read the book you recommended, Obesity Code.

I imagine you did three days of fasting based on that book."

There you go, my brother.

All right.

He says, "Have you seen any benefits?

I do know that you fast 24-hour period."

My normal regular scheduled fasting is everyday.

I basically don't eat for 22 hours or 23 hours.

I eat one meal a day.

I fast all day long.

I haven't eaten today.

I won't eat until like 5:00 or 6:00 and that will be the one meal I'll eat.

That's my protocol.

He says additional info: "Another is how you deal with hunger during fasting.

I actually managed to subdue my hunger, but when I see delicious food in front of me,

I couldn't resist.

Thankfully or not thankfully, my wife loves to cook delicious food and it's so hard to

resist."

A couple of things here, Kevin.

Some benefits.

There are some definite scientific benefits.

I'm not going to go like in-depth into science here in this video since I don't have any

research in front of me, and I'd just be coding up fake statistics that I don't have in

front of me.

I will tell you this.

HEH levels when you fast have been proven to rise dramatically as much as up to a thousand

percent, and it sort of peaks around 48-72 hours.

A three-day fast like that is going to give you a very high HEH level, which I can feel.

When I went to the gym yesterday and I hit the—I hit PRs on a lot of lifts with no

food for three days.

A lot of people will say, "Well, that doesn't make any sense like you're going to be"—They

always say this.

They say, "Well, if I did that, I would lose a bunch of muscle and I'd faint."

I'm not saying that you won't faint.

Maybe you would.

It depends on your blood sugar, but for most—but think about this from a biological standpoint.

Let's say you're a caveman and let's say that you haven't eaten for four, five days because

the only way that you get food is you fucking kill something and you eat it.

What do you think would be a biological advantage?

You think that you should be at your weakest at that point like you're like, "Oh, I can't

hardly hold this spear.

I haven't eaten for four days," or do you think you're going to be jacked?

Do you think that your body is going to be pumping you full of adrenaline like you better

kill something or you're going to die and you're going to have superhuman strength?

Which do you think makes more sense?

Okay?

Think about that.

That's just something to think about.

I know we're on the same—I know I'm preaching to the choir because you read the book and,

obviously, you like the book, but for those of you that are doubting and wondering about

this, that's my explanation like come up with a better sound reason why.

You know, come up with a reason why you should be like ready to pass out and weak after not

eating and I'll entertain it, but it doesn't make any sense to me from a biological standpoint.

Anyway, that's one benefit of it that I find.

The other one is just the mental clarity.

Like I said, you learn a lot about yourself by not eating for three days.

It's hard.

It's difficult.

It's not an easy thing to do, but you learn about what you can endure that being hungry

is not that bad.

Also, I do like 10-mile runs when I'm fasting as well.

Just like what you're capable of.

It's pretty awesome when you're like you haven't eaten for three days and you ran 10 miles

and lifted a bunch of weights, and you're like, "Wow there's a lot of stuff in life

that I thought was hard.

Now, it seems easy because if I can do that, what can't I do?"

I think that's something and, again, I've done videos on this before where I've talked

about like that where you're at worst is your actual best.

What I mean by that is like when things are hard and how you're acting in that time, that's

what you actually are.

That's the real you coming out.

If you put yourself through hell, if you put yourself through fasting for three days, that

personality that you have then, that's the real you and that's where you can actually

work on that real personality because if you improve yourself, if you can hold back your

temper, if you can control your emotions, if you can have emotional mastery at that

point, when you're not under that kind of pressure, it will be much easier.

That's where you really get to do some really deep self-development.

At least that's what I find.

Just from a health benefit, I mean like I said, you read Obesity Code.

You know that the most efficient way to burn fat is to fast, obviously.

When you do that, you also prime yourself to build muscle with the HEH increase.

From a health standpoint, I think that it's highly beneficial for what I'm trying to achieve

physique wise.

I've had great benefits and great results from it, and then also from a medical standpoint

there's been a lot of studies showing that fasting is helpful to your health, everything

from preventing cancer to program cell death which is—I'm losing the name for it now.

Anyway, those things can help to renew the body.

Now, as far as dealing with hunger, I'll answer that real quick.

This is one of those things that like—I mean it subsides, like hunger comes and goes.

You're not like constantly hungry.

It's going to come and go, so the best thing to do is just to distract yourself and go

do something else or just recognize it.

I mean being self-aware is really powerful.

Anytime you're trying to master any kind of emotion or feeling being self-aware and just

saying, "Okay, I feel really hungry right now."

I know it sounds really stupid, but if you acknowledge and you say—because then you

It just means that I would want to eat," but it doesn't mean—I know it sounds a little

bit silly, but try it.

It will help you.

Then as far as delicious food, you just got to develop the—again, I would say that the

biggest with that is that I always tell myself that FoMO, fear of missing out.

FoMO.

food in front of you.

You can eat delicious food anytime you want.

I always tell myself, "John, you're a grown ass man.

You can go to the store and you can buy a whole fucking cheesecake if you want.

This is like—you can do this.

This is amazing, right?

Why do you feel like just because someone brought cupcakes into work that you've got

to eat the cupcakes or some cooked delicious food?

You can go to a nice restaurant and eat delicious food.

You see what I'm saying?

If you're trying to fast, if you're trying to not eat, then just don't do it.

Don't like indulge it because you're afraid of missing out.

Anytime you make choices in life like that where you're afraid of missing, that FoMO,

you make bad choices.

I mean there are definitely occasions where it's once in a lifetime opportunity, but most

of the time someone cooking a good meal or someone bringing cupcakes into work is not

a once in a lifetime opportunity.

I mean let's be honest here and how much are you really selling missing out anyway.

Some hedonistic pleasure for like a few minutes of enjoying some food.

Big fucking deal.

What are your bigger goals in life?

That's what I remind myself when I'm hungry.

Trump MUST take military action to destroy North Korea missile threat, ambassador warns

DONALD Trump has no choice but to take military action against North Korea after the hermit

state launched its most powerful ballistic missile, it is claimed.

Pyongyang boasted its latest ballistic missile could strike anywhere in the world after blasting

it at about 3am today local time (6pm GMT yesterday).

Responding to the latest provocation, which came after two months of relative calm, Mr

Trump told reporters: "I will only tell you that we will take care of it.

"It is a situation that we will handle."

That leaves the President, who recently threatened "fire and fury" against the despotic regime,

with a small number of uncomfortable choices.

One of those would be to take military action, a potentially devastating scenario.

John Bolton, former US Ambassador to the UN, said 25 years of diplomacy and sanctions had

failed completely, leaving no option but to take military action or accept a nuclear-armed

North Korea.

He claimed once Pyongyang reached its nuclear goal it would demand the US pull troops from

South Korea or Japan and could sell its destructive technology to other rogue states.

Mr Bolton told Sky News: "I don't think it would be a major war, I think what the

US has to look at is destroying North Korea's ballistic missile facilities and its nuclear

facilities.

"I think as well we would have to take step to protect against North Korean retaliations

against South Korea and what they would probably do is attack the city of Seoul."

By launching a war he would run the risk of the US mainland being hit by a missile carrying

nuclear material.

Thousands of lives would be put at risk in the US, North Korea and worldwide by such

an action.

But Mr Bolton warned: "The tough rhetoric that we've used, if its not followed by

tough action, leaves us in a worse position."

Although an all-out attack on the state could succeed, thousands of lives would be put at

risk and there is now the very real danger missiles would be fired by its demented leader.

By launching the missile at such short notice, Kim Jong-un appeared to show the country was

capable of striking at any time.

It also casts into doubt the idea that the US would be able to hit a missile while it

is still on the launchpad.

A more limited attack by air and sea would likely be a more preferable option for the

US and its allies, crippling Pyongyang's military capabilities.

But, again, yesterday's launch appears to show intelligence on the North's capabilities

is not flawless.

It would also leave Kim Jong-un in place, still pursuing his nuclear dream, unless the

US were able to assassinate the despot and his inner circle.

Pyongyang's action this week showed efforts to negotiate with him had failed.

However, Mr Trump said yesterday his strategy against the state had not changed despite

its deadly actions.

He told reporters USA had a "very serious approach, but nothing changed".

That indicates the President could continue to pursue diplomatic solutions for the time

being.

Most recently, the US has turned to the North's major trading partner China in a bid to impose

extra financial curbs on Pyongyang.

Washington said repeatedly all options, including military ones, are on the table in dealing

with North Korea while stressing its desire for a peaceful solution.

US Secretary of State Rex Tillerson said yesterday: "Diplomatic options remain viable and open,

for now."

He added, alongside current UN sanctions, "the international community must take additional

measures to enhance maritime security, including the right to interdict maritime traffic".

The UN Security Council are discussing the launch, which Secretary-General Antonio Guterres

strongly condemned, at an emergency meeting today.

He said: "This is a clear violation of Security Council resolutions and shows complete disregard

for the united view of the international community."

The council was already scheduled to discuss progress in implementing recently adopted

rounds of sanctions aimed at stifling Pyongyang's military programmes.

North Korea has been under UN sanctions since 2006 over its ballistic missiles and nuclear

programs.

The Security Council imposed stricter sanctions on the North on September 11, aimed at its

supply of oil and gas for the first time following the rogue nation's sixth and largest nuclear

test earlier that month.

Since last November, it has issued further sanctions on exports of coal, iron, lead,

textiles and seafood.

strive for excellence of progression will see that in you and they will know

that you're part of the club and it's just gonna help you I first

mind a little bit one example I graduated from account

I graduated from FAU para Florida anak University with accounting degree and

then in two more weeks I was or one week after I graduated I was starting the H&R

Block class kind of at the last month of school and the beginning of the HR block

class I was working with my buddy uh he owned he owns a sprinkler company

and I would you know I was whatever I was getting paid just like a normal

person would nothing crazy ten bucks an hour all at the category you don't want

it's like once you let that cat out we can fight back in so yeah I just want

you know let you know it wasn't like I was making a lot of money I mean not all

accounts it was a beneath me like where did you go to college for I don't worry

about what other people like that thing because they don't know what I'm doing

they didn't know you know hey I got to take this H&R block class so I can get

another jobs so I can be a CPA so I can be in charge my own business so I can do

what I do now which is actually work all the time but never feel like I work and

yeah it's awesome yeah I make it look like play when I'm working so but enough

of that anyway so I get to this job early and I would I would always be

earlier to the job whenever there was some downtime I would always be in the

back of the work truck trying to fix it up a lot of different parts and I just

trying to organize the back of the truck I always try to be busy I feel like this

guy's paying me ten bucks an hour I should be working ten bucks an hour you

know there's a lot of times where the he was the owner and maybe he'd go around

with a client him and a client would go around or him you know and everyone else

he used to work would just would sit on their phone or you know smoke a

cigarette or whatever but not help in the back and he actually said you know

dang he's like I really noticed that you're going above and beyond you know

you're always staying busy you're always working and he's like that that type

attitudes gonna take you far in your life I you know I use like I know you

don't you know you're just here for a little bit

working on the sprinklers but he's like keep die attitude up and you know like I

appreciate it I respect it you know and also like yeah and that was just like

that was the first time that I was like man it would be so stupid to be here and

be like it's Japanese to me like you know like I can't be bothered I

didn't have the attitude I had like a positive go-get-'em attitude and who

knows how that might help me in this whole world thing like maybe I don't

know maybe um maybe the maybe the person who knows who owns a sprinkler company

meets somebody um that needs an accountant somewhere to his payroll and

then you know the guy worked for what would be like oh I got the guy for you

he works so hard he's just a really hard worker genuine guy I got the guy for you

so you know I might be in referrals I don't know how it's gonna come back to

me but it can't hurt me so that's that's my kind of I guess that's why I it meant

a lot to me to do your best at something also the second instance when I've kind

of heard it I heard it like a year or two later on a Joe Rogan podcast I

believe it was this guy Eddie Hong Hong who's like an actor and artist I think

like an artist and actor anyways he said you know what impresses me a kid working

at McDonald's just busting its ass just like you know doing way too much work

then the job requires but just going for it and I'm like yeah that's awesome when

someone out at a low-paying job where you know or a low skill job and where a

lot of people would think it's you know I'm too good for this job you know when

that kids hustling and stuff yeah that impresses me and I do like that then

just like I believe when I was doing Mick Mick napkins you know I was doing

the mick nap I make that I was at McDonald's in this the drive-thru driver

was just so nice right read the order back to me Gaming napkins and then you

know when I pulled up she was getting changed for me another order like I was

like this dis chick is a boss if your name Susan or Sally or something

now I mean let's say I'm a regular at that McDonald's let's just say and I

mean this this she always tells me she heard her name ends up being Sally right

Sally's a boss over there boss at McDonald's and it does take me back a

little bit because she goes so above and beyond so I know that whatever position

she would be I know whatever job she would Sally would have that she would be

a boss about it you know you can tell it you could ask

her to do anything and she'd be like yeah I'd do that call two people at the

same time she's like yeah I'm on it um let's just say that Sally

um she she loves you know she goes the extra mile at her job at McDonald's

she also enrolls in college and she's taking some college classes I don't know

that I just roll through McDonald's and get the best service I've ever gotten

consistently you know I might uh it might come out that hey I own my own uh

I own I own my own accounting business I'm a CPA I'm looking for a bookkeeper

to work with me I might just come out and then Sally and say oh I'm actually

in school for accounting oh really yeah we'll call me call me when you get

out if you want to look for a job because I got a spot for you am I am I

at my place you know something like that could really happen and if it doesn't

happen you know being a slack ass at your job nothing good what good is gonna

come from that you get no pride in yourself you know no one's gonna say oh

like you know the guy who the guy who hates his job at McDonald's number one

I'm not gonna talk to him really I'm not going to tell them that I'm a CPA well

business and you know I'm not going to care about him he's like he doesn't care

about himself you know um if I see his resume I'd be like oh this kid sucks I'm

not doing that if I saw Sally's resume come through or

if she was doing an interview and I saw her or whatever you know if I saw her

doing an interview at my neighbor's office I'd say Sally what are you doing

here you know and she'd be like oh I'm

interviewing for this job we're here I said oh really

okay cool you know that I would go over to the neighbor neighbor's place I'm do

like yo I don't want to get in your business but if Sally she's a boss about

it I'm telling you so what do you have to lose because it's not gonna it's not

gonna cost you any more time you have to be at your job for eight hours anyways

I'm saying for the majority of people because I know there's gonna be somebody

said I have to be my job yeah and this was supposed to be a short video turned

out to be another long video of course let's see so yeah being boss about your

job work hard at your job it's only gonna help you it's only gonna help you

it's gonna give you more confidence people around you are gonna respect you

more it's just gonna you know it's gonna help you later on in life it's gonna be

a positive upwards spiral that's kind of my that's one of my new things as an

upward spiral because you always hear about the downward spiral which happens

happened to me I feel like I mean I think my buddy mark coined that upwards

upward spiral cuz I told him I'd start my day off with an hour of motivational

speaking on the youtubes the listening to it and like I'd already make my mind

up from there you know I'd already be going good and it'd just be getting

better and he's always a positive spiral so I think kicking ass at your job being

in which we don't want psychoanalysis

and long self-exploring treatments anymore.

Therefore, there's a crisis of psychoanalysis,

as there's, by the way, a crisis in democracy, in everything.

And we prefer, mostly,

drugs, meds, which are extremely effective,

and psychiatry as a whole,

which carried psychoanalysis for a long time,

became chemistry. This raises questions

that make no sense at all.

The brain and the works of neurology are one thing,

psychoanalysis is something else. It's a human science

of self-discovery, and is not, under no circumstances, a science.

And all the people that want to find the unconscious,

in the Freudian sense, in the brain, are on the wrong path.

We can debate about all this,

but those are not comparable things. Today,

medicine made considerable progress in the exploring of the brain;

if I'm here talking to you

it's because we live much longer, because medicine progressed.

In the realm of the psyche it's very different.

Medicine don't cure psychic problems.

They attenuate, treat, are very useful,

but do not cure the problems of the soul.

And today we have the illusion

we're going to cure everything with bodily methods.

This is not a problem for me.

I believe people should experiment everything they wish.

I'm completely liberal on this matter.

But, if psychoanalysis disappears completely as a clinic,

something in culture will be missing. Because

it was a great advance of civilization over barbarism,

the idea of curing yourself is a culture of intelligence.

Psychoanalysis is an intellectual and clinical discipline.

Many psychoanalysts of today are not very literate,

many of them don't read history books,

they are only interested, deep down, by concrete, clinical problems.

I have nothing against this, but

we must never forget it is a culture

strongly connected to the history of literature and philosophy.

And that corresponds to the fact that we read less books,

and we're less interested in history

and we are risking having

an important loss under this aspect.

The loss of affection by psychoanalysis

also come from the psychoanalysts themselves, who made

too many concessions and, simultaneously, on many cases,

became overly dogmatic on schools.

I defend a democratic psychoanalysis, open to culture.

On this aspect, I think Brazil

is a country in which it is a new idea.

Because it is well taught at the universities,

it's eclectic and non-dogmatic.

But, when the advances of chemistry become even greater,

and we'll have the illusion we can prevent

all psychic diseases through drugs,

we'll have suffered a great loss, because that won't work.

What is new from 2018?: Legal persons - Duration: 4:04.

What are the most important tax changes for companies?

Changes affecting companies concern introduction of the European directive

against tax avoidance practices and transfer of profits to countries with lower tax burden;

these changes concern introduction of so-called "exit tax".

It means that if a company doing business in the territory of SR

transfers its production plant from this country to other country

in order to lower its tax burden or costs,

this company is obliged to value assets and liabilities

in such production plant at fair value

and to pay the tax on the differences from profits achieved in the territory of SR.

The second change is so-called "controlled foreign company rule".

It means that if I have a share participation in the share capital,

voting rights or profit share of a foreign company of more than 50%

and this controlled foreign company pays a lower tax

than it would have to pay in the Slovak Republic for activity performed abroad,

it will have to pay the resulting difference in the territory of SR.

However, this rule should be applied only in case of artificial transactions

performed with the aim to transfer profits to countries with lower tax burden.

In my opinion the problem with this rule is

that it leaves upon subjective assessment of the taxpayers to prove

what is or is not an artificial transaction.

Moreover, it imposes a high administrative burden upon a taxpayer

to take a foreign company with its accounting and convert everything according to the Slovak rules.

It means that SR could chose one of two alternatives

how to implement this rule from the European directive

and it decided to use a criterion,

which is more complex, harder to grasp,

based on subjective assessment and imposes high administrative burden.

I would like to highlight as a very positive feature the support of research and development (R&D),

as I already mentioned in the previous videos.

If the support of R&D is provided at the time of implementation of R&D

activities the super deduction will increase to 100%,

i.e. if I incur costs of EUR 100 I can deduct additional amount of EUR 100

through the tax return and thus reduce my tax liability.

The disadvantage of this scheme is the existence of a public register

containing information which could be used by competitors,

e.g. about R&D projects implemented by other companies.

The advantage is that this scheme of super deduction is adjusted in a non-bureaucratic manner.

The second form of the support of R&D activities represents a phase,

in which I already have a patent, a technical solution or computer software;

in this case the companies may use one of two options:

To permit the use of this technical solution, patent or software by other company,

which will pay them the licence fee for the right to utilize these assets, or

b) To produce their own products on the basis of this patent or invention;

in this case the companies may deduct or exempt from the tax 50%

of their income from the licence fees or revenues from the sale of these products.

This second form of support of R&D activities will attract new investments to the territory of SR.

These are the most important changes affecting legal persons.

It has just occurred to me, there is one more, negative change

relating to business reorganizations.

SR introduces only one possibility

of taxation of business reorganizations such

as mergers, amalgamations or demergers, namely taxation at fair value.

fter introduction of this rule business combinations will cease to be tax neutral,

but they will have to pay the tax on revaluation (valuation differences)

at the time of implementation of business reorganization.

It will "kill" the market of implementation of business reorganizations

where the aim is to rationalize or streamline a group of companies or detach an asset designed for sale.
